These Terms and Conditions (“Terms”) govern your access to and use of the website www.cartoolindia.com (the “Website”) and the purchase of any products, software, subscriptions, or services (collectively, the “Products and Services”) offered by CarTool India (“CarTool India”, “we”, “us”, or “our”).
By accessing the Website, registering an account, or placing an order, you (“you”, “User”, “Customer”) confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Website or purchase from us.
You must be at least 18 years of age and capable of entering into a legally binding contract under the Indian Contract Act, 1872. Our Products and Services are intended primarily for automotive workshops, technicians, garages, and trade/business customers. By purchasing, you confirm that the information you provide is accurate and complete.
3.1 You may be required to create an account to place certain orders or access Software.
3.2 You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
3.3 You agree to notify us immediately of any unauthorized use of your account.
3.4 We reserve the right to suspend or terminate accounts that contain false information or are used in breach of these Terms.
4.1 Hardware is sold to you outright, subject to our Warranty Policy.
4.2 Software is licensed, not sold. Subject to payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to use the Software solely for its intended diagnostic purpose, on the permitted number of devices/users as specified at the time of purchase.

4.4 Software activations, license bindings, and certain serialized functions may be tied to specific hardware or accounts and may be non-transferable once activated.
4.5 Software updates, database updates, and new vehicle coverage may be provided under an active Subscription. Once a Subscription expires, access to updates and/or certain functions may stop.
5.1 All prices are listed in Indian Rupees (INR) and are inclusive/exclusive of GST as indicated at checkout.
5.2 We reserve the right to change prices at any time without prior notice; the price applicable to your Order is the one displayed at the time of order confirmation.
5.3 Payment must be made in full through the payment methods offered on the Website. Orders are processed only after payment is successfully received and verified.
5.4 In case of any pricing error, we reserve the right to cancel the Order and refund any amount paid.
6.1 Your Order is an offer to purchase. A contract is formed only when we confirm acceptance and/or dispatch the Order.
6.2 We reserve the right to accept or reject any Order at our sole discretion, including for reasons of stock unavailability, suspected fraud, or pricing errors.
6.3 Shipping and delivery are governed by our Shipping and Delivery Policy.

7.3 Activated Software, license keys, and Subscriptions are generally non-refundable once delivered/activated, except as required by applicable law or expressly stated in our Refund and Cancellation Policy.
8.1 Diagnostic tools and software are powerful equipment intended for use by trained automotive professionals.
8.2 You agree not to use our Products and Services for any unlawful or improper purpose, including but not limited to:

The final diagnosis and repair decision rest solely with the qualified technician. We do not guarantee the accuracy or completeness of diagnostic data for every vehicle, model, or condition.
8.4 You are solely responsible for the correct and safe use of the Products and Services. We are not liable for any damage to vehicles, components, ECUs, data loss, or injury arising from improper use, incorrect procedures, incompatible operations, or interruption during programming/flashing.
9.1 Coverage of vehicle makes, models, years, systems, and functions varies by product and may change over time.
9.2 Compatibility lists are indicative and not guaranteed for every variant. We recommend confirming compatibility before purchase.
9.3 All OEM names, vehicle brands, logos, and trademarks referenced on the Website belong to their respective owners and are used only for identification and compatibility reference. We are not affiliated with, endorsed by, or sponsored by any such OEM unless expressly stated.
10.1 All content on the Website — including text, graphics, logos, software, and product designs — is owned by or licensed to CarTool India and is protected under applicable intellectual property laws.
10.2 You may not reproduce, distribute, or create derivative works without our prior written consent.

11.1 The Products and Services are provided on an “as is” and “as available” basis, without warranties of any kind except those expressly stated in our Warranty Policy.
11.2 To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with any Order shall not exceed the amount actually paid by you for the specific Product or Service giving rise to the claim.
11.3 We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business, goodwill, or data.
11.4 Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.
You agree to indemnify and hold harmless CarTool India, its directors, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms or misuse of the Products and Services.
The Website may contain links to third-party websites or integrate third-party services (e.g., payment gateways, OEM portals). We are not responsible for the content, policies, or practices of such third parties.
We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, strikes, internet/network failures, government actions, or supplier defaults.
We may suspend or terminate your access to the Website, your account, or Software licenses if you breach these Terms, with or without notice. Upon termination, your right to use the Software ceases immediately.
These Terms are governed by the laws of India. Subject to the dispute resolution clause below, the courts at Balaghat, Madhya Pradesh shall have exclusive jurisdiction.
17.1 In case of any dispute, the parties shall first attempt to resolve it amicably through good-faith discussion.
17.2 Any unresolved dispute may be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Balaghat, Madhya Pradesh, and proceedings shall be conducted in English/Hindi.
We may update these Terms from time to time. The revised version will be posted on the Website with a new “Last Updated” date. Continued use after changes constitutes acceptance.
